Charles Eluromma is a trusted legal advisor to clients across a broad spectrum of industries, including banking and financial services, energy, environmental services, diversified industries, and information technology. His practice focuses on corporate and commercial law, with a particular emphasis on mergers and acquisitions, business structuring, and contract advisory.

Charles regularly assists clients with the purchase and sale of businesses, corporate reorganizations, and a wide range of commercial agreements, including joint ventures, collaboration agreements, procurement and licensing contracts, confidentiality and non-disclosure agreements, and vendor service agreements. Known for his pragmatic approach to client service, Charles delivers strategic legal solutions tailored to the unique needs of each business.

In his business immigration practice, Charles advises employers on cross-border workforce mobility and corporate immigration strategy. He provides guidance on a full range of immigration matters, including Labour Market Impact Assessments (LMIAs), Intra-Company Transfers, and professional work permit applications under CUSMA/USMCA, CPTPP, CETA, and GATS. He also assists clients with personal immigration matters, such as Working Holiday and Young Professionals permits, Temporary Resident Visas, Study Permit applications, Post-Graduation Work Permits applications, family sponsorship applications, Permanent Residence applications through economic immigration streams, Provincial Nominee Programs, as well as citizenship applications.

Prior to founding Evergreen Solicitors, Charles was a senior associate with the Business Law and Business Immigration practice groups at a prominent Canadian national law firm. He previously practised with another national firm, advising on matters related to banking and financial services.

Charles began his legal career in Lagos, Nigeria, where he worked with two top-tier commercial law firms, advising financial institutions and energy companies seeking to raise capital or acquire business interests, as well as other corporate clients on cross-border investments and regulatory compliance. His international experience includes corporate governance and corporate secretarial services for companies operating in diverse sectors.

  • Advised a corporation operating in the transportation sector on its master services agreements and associated statements of work with global mining giants, for haulage of raw diamond and cement from the owners’ mines in the Northwest Territories to storage facilities in Alberta.
  • Advised a Brazilian public corporation in about 9 acquisitions and subsequent mergers of various Canadian subsidiaries operating in environmental management service industries, expanding from zero offices in 2020 to about 35 offices in Canada by 2024.
  • Advised a US multinational corporation with drafting of commercial agreements for contracting with Indigenous Canadian companies operating in the oil & gas industry.
  • Advised a US equipment rental company in the acquisition of an Alberta-based midstream industrial equipment rental company with operations in Alberta, British Columbia, and Saskatchewan.
  • Advised a First Nation business conglomerate operating in the energy, environmental services, and transportation sectors on corporate reorganization transactions involving mergers and asset sales within its group.
  • Advised a private equity investor on the acquisition of 50% of the shares of a company operating an Alberta-based specialized medical practice.
  • Advised a group of medical practitioners in a joint venture to establish a medical innovations clinic specializing in psychedelics.
  • Advised a US-based multinational aviation ground handling company on intra-corporate transfer of workers from the US to Canada for its startup operations at Calgary International Airport, including response to a regulatory compliance audit by Immigration, Refugees and Citizenship Canada.
  • Routinely advised a US-based multinational corporation on cross-border intra-corporate transfer of specialized-skills tech workers from overseas to Canadian operations to provide technical consulting in energy trade and risk management (ETRM) to energy and commodities trading companies in Alberta and British Columbia.
